Terms of Service
The terms that apply when you create a ConvoRail account, connect a channel or embed the widget on your website.
1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you ("you," the individual or business creating an account) and Cross Globe Marketing, operating ConvoRail ("ConvoRail," "we," "us"). By creating an account, connecting a channel, or embedding the ConvoRail widget on a website, you accept these Terms. If you're accepting on behalf of a company, you confirm you have authority to bind that company.
2. The service
ConvoRail is an AI chatbot platform that answers your website visitors' questions strictly from a Q&A knowledge base you write and maintain, embeddable via a script tag, with optional connected channels (email, Facebook Messenger, WhatsApp, and others as added). We may add, change, or remove features over time; where a change materially reduces a paid plan's functionality, we'll give reasonable notice.
3. Accounts and eligibility
You must provide accurate account information and keep your login credentials confidential - you're responsible for activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. One account may have multiple team members (seats) as described in your plan; each team member is subject to these Terms and to your organization's own policies for their conduct.
4. Billing, plans, and refunds
Paid plans and extra-seat purchases are billed through Razorpay in Indian Rupees (INR) unless stated otherwise. Subscriptions renew automatically each billing period until cancelled; you can cancel anytime from Settings > Billing, effective at the end of the current billing period (no partial-period refund for cancellation). Extra-seat purchases are one-time charges and are non-refundable once processed, except where required by applicable law. We may change plan pricing going forward; we'll notify existing paid subscribers before a price change takes effect on their next renewal. You're responsible for any taxes (including GST, where applicable) associated with your purchase, except taxes on our net income.
5. Acceptable use
You won't use ConvoRail to: deploy a chatbot that impersonates a real person or organization without authorization; distribute illegal content; harass, defraud, or deceive your visitors; scrape, reverse-engineer, or resell the service without our written consent; overload or attempt to disrupt the service's infrastructure; or connect a channel (email, Facebook, WhatsApp, etc.) you're not authorized to use. We may suspend or terminate accounts that violate this section, with notice where practicable.
6. Your content and data
You own the Q&A content, knowledge base material, and any other content you upload. You're responsible for having the rights to use whatever you put into ConvoRail, and for your compliance with law regarding any personal data of your own end users that flows through your chatbot or connected channels. You grant us a limited license to host, process, and display your content solely to provide the service to you. How we handle data is described in our Privacy Policy, which is part of these Terms by reference.
7. Intellectual property
ConvoRail, its underlying software, branding, and documentation are owned by Cross Globe Marketing and protected by applicable intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the service for your own business purposes - nothing here transfers ownership of the platform itself to you.
8. Service availability; no warranty
We aim to keep ConvoRail reliable but don't guarantee uninterrupted or error-free operation - third-party dependencies (hosting, AI model providers, payment and channel providers) can affect availability. Except as expressly stated in these Terms, the service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, ConvoRail and Cross Globe Marketing won't be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the service. Our total liability for any claim arising from these Terms or the service is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that can't be limited under applicable law.
10. Indemnification
You agree to indemnify and hold Cross Globe Marketing harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the service in violation of these Terms, or your violation of any law or third-party right.
11. Termination
You can close your account at any time from Settings. We can suspend or terminate your account for violating these Terms, non-payment, or if required by law; where practicable, we'll give notice first. On termination, your right to use the service ends, though provisions that by their nature should survive (billing obligations already incurred, intellectual property, limitation of liability, indemnification) continue to apply.
12. Changes to these terms
We may update these Terms as the product evolves. For material changes, we'll notify active paid subscribers (by email or an in-product notice) before the change takes effect. Continued use of the service after a change takes effect constitutes acceptance of the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms or the service will be subject to the exclusive jurisdiction of the courts located in India, unless applicable consumer- protection law in your jurisdiction requires otherwise.
